Welcome to Exoquic (“we,” “our,” or “us”). These Terms & Conditions (“Terms”) govern your use of the exoquic.com website (the “Site”), our event-streaming platform, and all associated services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Description of Services
1.1 Real-Time Event Streaming Platform
Exoquic builds, maintains, and hosts a fully managed infrastructure that allows businesses to transmit and receive real-time events with minimal latency. We reduce the complexity, cost, and overhead of real-time application and feature development, and infrastructure management, enabling our customers to focus on their core business.
1.2 API Libraries & Documentation
We provide open-source libraries, licensed under Apache 2.0, which allow our customers to integrate with Exoquic’s platform.
2.1 Business Use Only
You represent that you are entering into these Terms on behalf of a business entity and have the authority to bind that entity. Exoquic’s Services are intended for professional and commercial use, not for personal or consumer use.
2.2 GitHub OAuth
To access the Services, you are required to authorize using GitHub OAuth. By doing so, you represent that GitHub credentials used are yours or that you are otherwise authorized to use them. You agree to keep such credentials secure and notify us immediately if you suspect any unauthorized use.
2.3 Accuracy of Information
You are responsible for providing accurate information during the Github OAuth authorization.
3. Permitted Use and Restrictions
3.1 License to Use the Services
Subject to these Terms, Exoquic grants you a non-exclusive, non-transferable license to access and use our event-streaming platform for your business purposes only. This includes integrating our open-source libraries (@exoquic/sub, @exoquic/auth, @exoquic/pub) with your applications and services and accessing our infrastructure through API endpoints documented on exoquic.com.
3.2 Prohibited Uses
You must not:
- Reverse-engineer, decompile, or disassemble Exoquic’s platform or any proprietary technology, except to the extent permitted by law.
- Use the Services to introduce malicious code (e.g., viruses, trojans, worms) or engage in any activity that disrupts or compromises our infrastructure.
- Bypass or disable any security mechanisms or access controls implemented by Exoquic.
- Misuse the Services in a manner that violates applicable laws, infringes third-party rights, or hampers the performance of the Services for others.
3.3 User Responsibilities
You are responsible for ensuring that your applications comply with applicable data protection and privacy laws (e.g., GDPR, HIPAA, if relevant). You are responsible for ensuring that your end-users are authorized to receive the events being transmitted. This includes implementing appropriate checks before authorizing subscribers via @exoquic/auth. You are responsible for ensuring that your applications only publish events that you are legally permitted to share or distribute.
4. Open-Source Libraries
4.1 Apache 2.0 License
Our JavaScript/Node.js libraries (@exoquic/sub, @exoquic/auth, @exoquic/pub) are licensed under the Apache License 2.0. Your use of these libraries is governed by the terms of that license, which includes:
- Freedom to modify, distribute, or otherwise use the libraries in accordance with Apache 2.0 terms.
- Disclaimer of warranties and limitation of liability as provided in the license text.
4.2 Hosted Services Separate from Library License
While the libraries are open-source, the hosted infrastructure and event-streaming platform are offered under these Terms. Your right to access our managed Services ends if you violate these Terms, even though the open-source license to the library code remains intact under Apache 2.0.
5. Data Handling and Privacy
5.1 Data Protection
Exoquic processes event data on your behalf as necessary to deliver real-time services. Depending on your business model and geographic location, the data you send through Exoquic may be subject to GDPR, HIPAA, or other regulatory frameworks. You are solely responsible for:
- Determining whether you need to comply with these regulations.
- Entering into any necessary data processing agreements with us if required by law.
- Ensuring that your end-users have provided any required consents for their data to be processed.
5.2 Privacy Policy
Our collection and use of personal information are described in our Privacy Policy. By using the Services, you acknowledge that you have reviewed and agree to our Privacy Policy. You also agree to comply with your own privacy policy when interacting with end-users and collecting their data.
5.3 Security Measures
We implement commercially reasonable measures to maintain the confidentiality and security of the data transferred through our Services. However, you acknowledge that no method of transmission or storage is completely secure, and we cannot guarantee absolute protection against cyber threats.
6. Service Availability and Limitations
6.1 Uptime and Maintenance
Exoquic strives to maintain a high level of uptime. However, the Services may occasionally be interrupted for scheduled or unscheduled maintenance, system upgrades, or due to reasons beyond our control. We are not liable for any losses or damages resulting from Service interruptions.
6.2 Performance Metrics
Exoquic aims to deliver events with millisecond latency where possible. Actual performance may vary based on factors such as network conditions, your integration, and the volume of events.
6.3 Scaling and Quotas
Our pricing model accommodates growth in event throughput and storage. We reserve the right to implement quotas or rate limits to maintain fair usage and system stability. If you exceed these limits, we may require you to upgrade to a higher plan or adjust your usage accordingly.
7. Fees, Payments, and Refunds
Exoquic currently offers its Services to Customers free of charge. There are no fees associated with using our real-time event streaming platform, APIs (@exoquic/sub, @exoquic/auth, @exoquic/pub), or accessing our documentation site (“Docs Site”) at this time.
8. Limitation of Liability
To the extent permitted by law, Exoquic shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill arising out of or in connection with the Services or these Terms.
You agree to indemnify, defend, and hold harmless Exoquic and its affiliates from and against any third-party claims, liabilities, damages, or expenses (including reasonable attorneys’ fees) arising from:
- Your violation of these Terms or applicable laws.
- Your content or data transmitted through the Service.
- Any claim by your end-users related to your use of the Service.
9. Force Majeure
Exoquic is not liable for any failure to perform due to causes beyond our reasonable control, including but not limited to acts of God, governmental actions, labor disputes, power failures, network outages, or natural disasters.
10. Changes to the Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or by other reasonable means. Your continued use of the Services after the changes become effective constitutes your acceptance of the revised Terms.
11. Account Termination
11.1 By You
You may terminate your account at any time by emailing softqwewasd@protonmail.com or using any account deletion feature we provide. Upon termination, your access to our infrastructure and Services ceases, and Exoquic may delete or anonymize your stored data in accordance with our data retention policies.
11.2 By Exoquic
We reserve the right to suspend or terminate your access to the Services if you breach these Terms or engage in any conduct that may harm Exoquic or our users. In some cases, we may issue a warning before taking further action.
12. Intellectual Property
12.1 Ownership of Platform and Brand
Exoquic retains all rights, title, and interest in and to the event-streaming platform, including its software, systems, and branding, except for the libraries explicitly licensed under Apache 2.0.
12.2 User Content
You retain ownership of any content or data you publish through the Service. By using our Services, you grant Exoquic a limited, non-exclusive, royalty-free license to host, store, and process your content for the purpose of providing and improving the Services.
12.3 Open-Source Libraries
Exoquic’s open-source libraries are licensed under Apache 2.0, which governs usage of those libraries. This licensing does not grant you any ownership over Exoquic’s underlying infrastructure or brand assets.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Växjö Tingsrätt, Sweden, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved in the courts located in Växjö, Sweden. You agree to submit to the personal jurisdiction of such courts.
